Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Cobb County, Georgia.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FreePas Events LLC, a Georgia limited liability company ("FreePas," "we," "us," or "our"), concerning your access to and use of the FreePas platform, website (https://www.freepas.com), mobile applications, and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services. These Terms incorporate by reference our Privacy Policy and all other policies posted on our website.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old and capable of entering into a binding contract under Georgia law to use our Services. By using FreePas, you represent and warrant that you meet these requirements.

2.2 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

2.3 Business Accounts

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscriptions and Payment Terms

3.1 Subscription Plans

FreePas offers various subscription plans with different features and pricing. Current plans and pricing are available on our website.

3.2 Payment Terms

  • All fees are in US Dollars unless otherwise stated
  • Subscriptions automatically renew unless canceled
  • Payment is due in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change fees upon 30 days notice

3.3 Georgia Sales Tax

Georgia state sales tax and applicable local taxes will be added to your subscription fees as required by law.

3.4 Free Trial

We may offer a free trial period. You will be automatically charged at the end of the trial unless you cancel before the trial expires.

4. Acceptable Use Policy

4.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use FreePas solely for:

  • Managing legitimate events and gatherings
  • Communicating with event attendees
  • Processing RSVPs and check-ins
  • Other intended features of the platform

4.2 Prohibited Uses

You agree NOT to:

  • Violate any federal, state, or local laws, including Georgia state laws
  • Infringe on intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Engage in spamming or unauthorized marketing
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Use the Services for illegal events or activities
  • Harvest or collect user data without permission
  • Impersonate others or provide false information
  • Use automated systems or bots without permission

5. Intellectual Property Rights

5.1 FreePas Property

The Services and all content, features, and functionality are owned by FreePas and protected by US and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain ownership of content you upload ("User Content"). By uploading content, you grant FreePas a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely to provide the Services.

5.3 Feedback

Any feedback, suggestions, or ideas you provide become the property of FreePas without any compensation to you.

6. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy. By using FreePas, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.

You are responsible for maintaining the confidentiality of your account credentials and for restricting access to your account.

7. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

FreePas does not warrant that:

  • The Services will be uninterrupted or error-free
  • Defects will be corrected
  • The Services are free of viruses or harmful components
  • Results from using the Services will meet your requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY GEORGIA LAW, FREEPAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall FreePas\'s aggregate liability exceed the greater of (a) $100 or (b) the amount you paid to FreePas in the 12 months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless FreePas, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney\'s fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

10. Termination

10.1 By You

You may terminate your account at any time through your account settings or by contacting support@freepas.com.

10.2 By FreePas

We may suspend or terminate your account immediately for any reason, including:

  • Violation of these Terms
  • Non-payment of fees
  • Illegal or fraudulent activity
  • At our sole discretion with 30 days notice

10.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your data after termination, subject to legal requirements.

11. Dispute Resolution

11.1 Informal Resolution

Before filing a lawsuit, you agree to try to resolve disputes informally by contacting legal@freepas.com.

11.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall occur in Cobb County, Georgia.

11.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

11.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or breach of confidentiality.

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and FreePas regarding the Services.

12.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

12.3 Waiver

No waiver shall be effective unless in writing and signed by FreePas.

12.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights to any successor.

12.5 Force Majeure

FreePas shall not be liable for delays or failures due to causes beyond our reasonable control.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Effective Date"
  • Sending notice to your registered email

Continued use after changes constitutes acceptance of the modified Terms.

Georgia State Law Provisions

Georgia Electronic Records and Signatures Act: By using our Services, you consent to electronic communications and acknowledge that electronic signatures have the same legal effect as manual signatures under O.C.G.A. § 10-12-1 et seq.

Georgia Fair Business Practices Act: We comply with all requirements under O.C.G.A. § 10-1-390 et seq. regarding fair business practices and consumer protection.

Venue: Any legal action must be filed in Cobb County, Georgia, and you consent to the exclusive jurisdiction of Georgia courts.

BY USING FREEPAS SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
